Welcome to The National Information Exchange Agency ("NIEA," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the NIEA mobile application, website, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

Important Notice:

Please read these Terms carefully. They contain important information about your legal rights, remedies, and obligations, including mandatory arbitration and class action waiver provisions that affect your rights to resolve disputes.

1. Acceptance of Terms

By creating an account, downloading the mobile application, or accessing the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you and NIEA. If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

5. Content and Intellectual Property

5.1 NIEA Intellectual Property

All content, features, functionality, trademarks, service marks, logos, trade names, and technology provided by NIEA are the exclusive property of NIEA or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, NIEA grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for personal, non-commercial purposes. You may not copy, modify, distribute, sell, lease, or create derivative works from any Platform content without express written permission.

5.2 User-Generated Content

You retain ownership of content you create and contribute to the Platform ("User Content"). By submitting User Content, you grant NIEA a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

You represent and warrant that you own or have all necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable laws. You acknowledge that User Content contributed to the BHHI becomes part of a permanent historical record and may not be completely deletable (but can be anonymized upon request).

5.3 Content Moderation

NIEA reserves the right (but has no obligation) to monitor, review, edit, or remove User Content that violates these Terms or is otherwise objectionable. We may use automated systems and human moderators to enforce content standards. Content removal does not waive any of NIEA's legal rights or remedies.

6. Identity Verification and Security

Participation in certain NIEA programs requires identity verification. You agree to:

8. United Net Income (UNI) Terms

11. Termination and Suspension

NIEA makes no warranties or representations that:

You use the Platform at your own risk. NIEA does not warrant or guarantee any specific outcomes from Platform use, including economic benefits, employment opportunities, or UNI amounts.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIEA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM:

IN NO EVENT WILL NIEA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO NIEA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless NIEA, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

15. Dispute Resolution and Arbitration

Mandatory Arbitration Notice

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Informal Dispute Resolution

Before filing a formal claim, you agree to attempt to resolve any dispute informally by contacting us at us@theniea.com. We will attempt to resolve the dispute through good-faith negotiations within 60 days.

15.2 Binding Arbitration

If informal resolution fails, you and NIEA agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Platform will be resolved by binding arbitration rather than in court, except as set forth below.

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in the United States in a location mutually agreed upon or, if no agreement can be reached, in a location determined by the arbitrator.

YOU AND NIEA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

15.4 Exceptions to Arbitration

Notwithstanding the above, either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

15.5 Opt-Out Right

You may opt out of the arbitration agreement by sending written notice to us at us@theniea.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

16. Governing Law and Jurisdiction

These Terms and your use of the Platform are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles.

For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must discontinue using the Platform.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and NIEA regarding the Platform and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

18.3 Waiver

No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term. NIEA's failure to assert any right or provision under these Terms does not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. NIEA may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

18.5 Force Majeure

NIEA will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18.6 No Agency

These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and NIEA. You have no authority to bind NIEA in any respect.

NIEA may provide notices to you via email, regular mail, or postings on the Platform. Notices to NIEA should be sent to us@theniea.com.

18.8 Survival

All provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.
